ARTICLE I
NAME
*
*
The name of this organization shall be the NICARAGUAN AMERICAN REPUBLICAN ASSEMBLY, herein after referred to as the "NARA"

ARTICLE II
OBJECTIVES
*
The object of the NARA shall be:
To attract members into, and involved them in the Republican Party and subsequently provide them with practical means of Republican Party participation, leadership training and political involvement, at all levels of government.
To support the principles, objectives, and platform of the Republican Party and to ensure the election of all duly nominated Republican candidates in the General Election at all levels of government.
To make known and promote the principles of the Republican Party among the Nicaraguan Community of Miami-Dade County.
To recruit Miami-Dade County area Nicaraguans as members of the Republican Party and as members of NARA.
To develop political skills and leadership abilities among Nicaraguan Republicans as preparation for future service by them to the Republican Party and the community.

ARTICLE III
MEMBERSHIP
*
Membership shall be granted in the NARA to any person who possesses good character, is willing to participate, is registered Republican, or in the case of unnaturalized residents, wants to participate in the Republican Party. Wherever the male gender or pronoun presently appears in the NARA Bylaws, it shall be interpreted to mean both male and female persons.

SECTION 1 The NARA shall recognize the following four (4) types of membership:
NARA Active Member- Any registered Republican voter, who resides within the boundaries of Miami-Dade County.
NARA Associate Member-Any registered Republican voter who does not qualify for active status in Miami-Dade County.
NARA International Member-Any registered Republican who does not reside in the United States of America.
NARA Friend- Any person who is a resident in the United States of America who is awaiting to be naturalized.

SECTION 2 All NARA memberships, except for the "NARA Friend" membership shall have the right to a vote in any and all NARA meetings and elections, provided that no proxy is used.

SECTION 3 Termination of Membership. Membership in the NARA shall cease and terminate automatically upon:
Failure to renew membership dues after thirty-five (35) days after the Annual Charter Anniversary. No written reminder notice is necessary to terminate membership for failure to pay.
Termination of existence of this republican organization as provided in Article XIV
Vote therefor no less than two-thirds (2/3) of all members in good standing.

ARTICLE IV
DUES
*
*
Annual dues shall be made payable to the NARA and delivered to the Treasurer in advance upon becoming a member, and then yearly on or before the anniversary date of the NARA's Charter from the Republican Party. No member who has not paid their dues shall be entitled to vote at NARA meetings until all dues shall have been paid in full. There will be no proration of any dues for any reason. The schedule of dues will be the following:

NARA Active Member: $20.00 Per year.
NARA Associate Member: $ 20.00 Per year.
NARA International Member: $30.00 Per year.
NARA Friend: $10.00 Per year.

ARTICLE V
OFFICERS
*
*
SECTION 1. The officers of the NARA shall be the following: Chairman, Vice-Chairman, Recording Secretary, Corresponding Secretary and Treasurer. Officer NARA active members in good standing with the NARA. Officers shall possess NARA active memberships and be in good standing. Officers shall be elected every two years at the regular meetings of the NARA during the month of the anniversary date of the NARA's Charter from the Republican Party.
Elections shall be conducted by the Chairman, who will take nominations from the floor. Elections will be for one office at a time in the following order: Treasurer, Secretary, Vice-chairman, and Chairman. No proxy may be used to vote at this nor any other meeting of the NARA.
Voting in elections shall be by secret ballot, unless a candidate is unopposed, whereas a voice vote from the Secretary may be taken to duly elect the unopposed candidate.

SECTION 2. The duties of the officers shall be:
The chairman shall preside over all meetings of the NARA and it's Executive Board and administer and exercise supervision over all activities of the NARA; to represent the NARA in an official capacity. The Chairman shall have the power to appoint all Committee Chairman, Project Directors, Committees and their members and any other Coordinators as may be needed to contribute to the successful operation of
the Nara. The Chairman shall have no vote in any election general meeting or
executive meeting, unless in case of a tie or when the Chairman or when the
Chairman has yielded the Chair.
The Vice-Chairman shall assist the Chairman in administering and exercising supervision over all activities of the NARA and preside at all meetings in the absence of the Chairman. The Vice-Chairman while acting as the Chairman shall have no vote in any election, general meeting, or executive meeting, unless in case of a tie or when the Chairman has yielded the Chair.

The Recording Secretary shall be the recording officer of the NARA, including regular meetings of the NARA and Executive Board, and shall keep a record of attendance and the minutes of all such meetings, making those minutes available to the general membership. Compiling a roster of all members and their respective type of membership. In addition, the Secretary shall keep a list of Motions passed with the date they were adopted and have those made available to the Executive Board as well as the membership.

The Corresponding Secretary shall coordinate preparation and distribution of NARA publications and notices. The will be in charge of all NARA property and acquisition NARA correspondence as well as assisting and substituting for the Recording Secretary when needed.
The Treasurer shall collect all funds paid to the NARA or any of it's committees, receipt thereof and deposit same in accounts designated by the NARA. The Treasurer shall be responsible for making all expenditures authorized by the Executive Board of the NARA. The Treasurer shall give a report at each regular meeting of the NARA regarding receipts, expenditures and the financial status of the NARA, as well as compiling and providing a roster to the Secretary and the Officers of the NARA of all paid and unpaid members.

SECTION 3. Notice that the election of the NARA officers will occur at the regular meeting two months prior to the anniversary date of the Biennial NARA. Reasonable notice must be given to all NARA members not less than ten (20) days prior to such meeting.
SECTION 4. A second (2nd ) notice of the biennual election meeting of the NARA officers shall be mailed to all NARA members no less than twenty (20) consecutive days prior to the semiannual meeting for the election of NARA officers.

SECTION 5. Nominations of candidates for NARA officers positions shall be made from the floor by any NARA member in good standing.
SECTION 6. Officers shall be elected by a majority of those NARA members present at the election of NARA officers. Only those members in good standing and members who have paid their annual dues not less than one (1) month prior to the election shall have the right to vote in the election of NARA officers.
SECTION 7. Resignation. If an officer of the NARA fails to attend two consecutive meetings of the Executive Committee, he shall be considered to have tendered his resignation, unless the absence is properly justified, preferably in writing or via a phone call to one of the NARA officers and accepted by the Executive Board.
SECTION 8. Vacancies. In case a vacancy occurs among the officers, it shall be filled at the next regular meeting after such a vacancy becomes known. In the event the position of Chairman becomes vacant, the Vice-Chairman shall become Chairman and upon a vacancy in the position of Vice-Chairman, Secretary or Treasurer, there shall be a special election with nominations coming from the floor among all members in good standing present. In cases of urgent need, the Chairman may appoint a member temporarily to the office of Treasurer of Secretary as prescribed in Article VI, until the next general meeting when elections shall be held according to Article V, Section 8.

ARTICLE VI
APPOINTED POSITIONS

*
The Chairman shall have the power to create and appoint all Committee Chairmen, Committees, Project Directors and any other Coordinators as may be needed to contribute to the successful operation of the NARA. In cases of urgent need, the Chairman may also appoint a member temporarily to the office of Treasurer or Secretary until the next general meeting to avoid hindering the work of the NARA. Such urgent appointment needs a unanimous confirmation of the Executive Board.

ARTICLE VII
MEETINGS
*
*
SECTION 1. The regular meetings of the NARA shall be held at the date, time, and location specified as determined by a majority vote of the NARA. The NARA shall hold regular meetings at least every two months not less than six meetings each year.
SECTION 2. The regular meeting held during the month of the anniversary date of the NARA's Charter from the Republican Party of Florida shall be known as the biennial Meeting of the NARA and shall be for but not limited to the election of the NARA officers.
SECTION 3. Special meetings may be cancelled by the Chairman, by written request to the Chairman by three of the Executive Board Members or by written request of ten (10) members of the NARA. At least ten (10) consecutive days notice shall be given to all members of the NARA and the purpose of the special meeting must be stated in the notice. The NARA Secretary shall file an attestation as to the transmission of such notices with the NARA.
SECTION 4. Only members that are denoted as NARA Active Members shall be allowed to vote in meetings of the NARA. Pursuant to the Republican Party of Florida Rules of Procedure, proxy voting shall not be allowed in any meeting of the NARA.
SECTION 5. A quorum for regular meetings shall be ten (10) percent of the Active NARA membership.
SECTION 6. Transmission of the notice of any and all meetings may be done by using one or a combination of the following methods: United States Postal Service, facsimile, e-mail, hand delivery, courier or phone call.

ARTICLE VIII
EXECUTIVE BOARD

SECTION 1. The officers of the Assembly and all Committee Chairmen shall constitute the Executive Board. Only the offices (Chairman, Vice-Chairman, Secretary and Treasurer) of the NARA shall be voting members of the Board.
SECTION 2. The Executive Board shall have the authority to transact all business of the NARC and have general supervision of the affairs of the NARA between regular meetings, as well as fix the time and place for meetings of the Board. The Board shall be subject to the orders of the NARA and none of it's acts shall conflict with the action (s) taken by the NARA.
SECTION 3. Special meetings of the Board may be cancelled by the Chairman, or upon written request by three members of the Executive Board. The Chairman shall then arrange to hold such special meeting within fourteen (14) consecutive days after receipt of such written request and all Board Member shall be inform of such special board meeting.

ARTICLE IX
COMMMITTEES

SECTION 1. A finance Committee composed of the Treasurer and four other members shall be appointed bye the Chairman promptly after each biennial meeting. It shall be the duty of this committee to prepare a budget for the NARA.
SECTION 2. A Program and Projects Committee of five members shall be appointed by the Chairman promptly after the biennial meeting whose duty shall be to plan the programs and any special projects of the NARA.
SECTION 3. An Auditing Committee of three members shall be appointed by the Chairman at the biennial meeting, whose duty shall be to audit the Treasurer's accounts at the close of the fiscal year and to report at the next regular meeting following the biennial meeting.
SECTION 4. Such other Committee Chairmen, Committees, Standing or Special Project Directors and Coordinators shall be appointed by the Chairman at his discretion as deemed necessary to carry on the work and successful operation of the NARA. The Chairman shall be an ex-officio member of all committees.

ARTICLE X
ENDORSEMENTS

Pursuant to the Republican Party of Florida Rules of Procedure the NARA shall not endorse nor seek to influence the nomination of any Republican candidate in any Republican Primary Election.

ARTICLE XI
IMPEACHMENT
*
Any officer may be impeached for failure to attend two consecutive Executive Board Meetings without propre justification that has been approved by the Executive Board of the NARA. Upon unanimous vote of the officers at a Regular meeting or Executive meeting the officer (s) shall be removed from his position. The position shall remain vacant until the next Regular Meeting when an election to fill the vacancy shall be held if necessary as prescribed in Article V, Section 7. Any NARA member in good standing may run for the vacancy.

ARTICLE XII
PARLIAMENTARY AUTHORITY

*
Unless specifically provide otherwise in this Bylaws, the rules contained in "Robert's Rules of Order, Newly Revised" shall govern the NARA, and in which they are not consistent with these Bylaws the Republican Party of Florida Constitution, the Republican Party of Florida Rules of Procedure and any special rules of order the NARA may adopt.

ARTICLE XIII
AMENDMENTS TO BYLAWS
*
*
These Bylaws may be amended at any regular meeting of the NARA by a two-thirds (2/3) vote of the NARA Active Members, provided that the amendment (s) has been submitted in writing at the previous regular meeting as well as transmitted to all members of the NARA. Any and all amendments when adopted shall automatically amend and become provisions of these Bylaws.

ARTICLE XIV
DURATION
*
SECTION 1. This republican organization shall cease to exist upon the first to occur of the following:
Vote of this republican organization to terminate.
Receipt by the NARA's Chairman or Vice-Chairman of written notice of revocation of Charter by the Republican Party of Florida.

SECTION 2. By virtue of termination provided in Article XIV, Section 1 (One), all rights and privileges to the NARA and Republican name and emblems shall thereon be relinquished and surrender by this organization and its members, individually and collectively.

KNOWN BY ALL MEN BY THESE PRESENT, that us, the undersigned Officers, being organizers of the Nicaraguan American Republican Council (herein referred to as "NARA"), has assembled to petition the Republican Party of the State of Florida to appropriately recognize the undersigned as the founding members of the Nicaraguan American Republican Assembly located and operated in Miami-Dad County, Florida.
